licx file preventing build, and Form Design issue with assembly references

I still cant run my C# app until I delete the .licx file.
By deleting the references to OpcNetApi, OpcNetApi.Com and OpcNetApi.Xml I can then access the Form Design tap in VB.
Every time I start a new app it is necessary to delete these files to continue.
I ran Reset Toolbox, and then only added EasyDAClient. This also added Pointer to the toolbox.
Still get warnings (see attached).
